Effective date: June 11, 2026. Contact: thenoodiapp@gmail.com. Noodi is a United States based and operated private creator platform for adults only.

Noodi is an 18+ private membership platform combining short-form social discovery, messaging, vaults, paid subscriptions, paid unlocks, and creator commerce. Access is conditional, revocable, and limited to people who satisfy Noodi's age, account, conduct, payment, and verification rules.

By accessing Noodi, you confirm you are at least 18 years old and the age of majority where you live, you may legally view adult content, and you will not allow a minor to access your account, device session, login, payment method, or content.

You are responsible for everything done through your account, including uploads, messages, purchases, subscriptions, creator applications, verification submissions, payment activity, tax information, and support requests.

You may not sell, rent, transfer, share, broker, or let another person use your account. A spouse, partner, agency, assistant, manager, or employee may not act through an account unless Noodi has expressly approved that access in writing and the person has any required role-based permissions.

A creator account is not approved for uploads, sales, creator messaging, paid folders, public discovery, or payouts until Noodi or its verification provider approves all required identity, age, tax, payout, consent, and compliance checks.

Every person who appears in adult or creator content must be separately verified and approved by Noodi before appearing in content. This includes spouses, partners, couples, co-creators, guests, assistants, agency talent, and any other identifiable person.

If content includes an unverified or unapproved person, Noodi may remove the content, lock creator features, suspend the account, preserve records, hold payouts, notify processors, and report suspected exploitation, trafficking, underage activity, or illegal conduct to appropriate authorities.

Noodi expects to use MIDsource or another approved high-risk payment partner for payments and related processing. Payments, subscriptions, refunds, chargebacks, reserves, card rules, fraud controls, and payout timing remain subject to the processor, bank, card network, and gateway rules that apply at the time of transaction.

Noodi may deny, pause, reverse, refund, reserve, or withhold transactions where required by law, processor instruction, risk review, identity mismatch, chargeback risk, suspected fraud, suspected illegal content, or violation of these terms.

You may not upload, request, buy, sell, store, message, promote, facilitate, link to, or distribute illegal, underage, non-consensual, exploitative, trafficked, stolen, pirated, doxxing, threatening, hateful, harassing, impersonated, synthetic-person, AI-generated sexual, synthetic impersonation, or otherwise prohibited content.

Attempted evasion through private messages, coded language, hidden folders, off-platform links, alternate accounts, cropped teasers, edited metadata, payment notes, or third-party storage is also prohibited.

Noodi may monitor, review, remove, restrict, preserve, quarantine, hash, watermark, report, or disable access to accounts, content, messages, vaults, folders, subscriptions, payouts, and features when necessary to protect users, creators, payment partners, service providers, legal compliance, or platform integrity.

Noodi may act before completing an investigation if delay could increase legal exposure, safety risk, processor risk, evidence loss, chargeback risk, or harm to a person.

Noodi does not guarantee followers, subscribers, sales, visibility, earnings, payout approval, uptime, app-store availability, payment acceptance, processor approval, search placement, or creator discovery placement.

Features may change, remain unavailable, or be removed based on compliance, processor requirements, legal risk, safety needs, technical readiness, or business judgment.

To the fullest extent permitted by law, Noodi and Vallie Labs are not liable for user-generated content, creator representations, user misconduct, payment processor decisions, tax obligations, chargebacks, third-party services, device capture attempts, unauthorized off-platform activity, or losses arising from your breach of policy or law.

You agree to defend, indemnify, and hold harmless Noodi, Vallie Labs, owners, affiliates, employees, contractors, service providers, processors, and partners from claims, losses, penalties, damages, costs, chargebacks, reserves, investigations, takedowns, disputes, and attorney fees arising from your content, conduct, account use, legal violations, false statements, consent failures, verification failures, payment disputes, tax issues, or breach of Noodi policies.
