Creator onboarding, warranties, 80/20 split, payout holds, tax duties, consent duties, and creator indemnity.
Creator status
Creators are independent businesses or individuals using Noodi platform tools. No creator is an employee, agent, partner, franchisee, or legal representative of Noodi or Vallie Labs.
Creators control their lawful content, pricing choices where available, folder visibility, paid vaults, messages, fan interactions, and business conduct, subject to Noodi policies, processor rules, and legal requirements.
Approval required before selling
No creator may upload restricted content, sell content, message as a creator, receive payouts, publish a creator profile, appear in discovery as approved, or operate paid folders until Noodi or its verification provider approves required creator checks.
Approval may require identity verification, age verification, liveness verification, fraud screening, duplicate checks, tax documentation, payout setup, creator agreement acceptance, consent policy acceptance, AI/synthetic impersonation prohibition acceptance, and admin review.
Every person in content
Every person who appears, speaks, participates, or is identifiable in creator content must be separately verified and approved before the content is uploaded, sold, messaged, streamed, teased, or published. This rule applies to spouses, partners, couples, guests, friends, collaborators, assistants, employees, agency talent, and any other performer.
Creators must keep accurate performer records, consent records, releases, production dates, content links, and age documentation as required by applicable adult-content recordkeeping law and Noodi policy.
Creator warranties
Creators warrant that all content is legal, consensual, owned or licensed by the creator, accurately described, not stolen, not pirated, not non-consensual, not exploitative, not trafficked, not underage, not AI-generated sexual content, not synthetic impersonation, and not impersonation.
Creators warrant that all legal names, dates of birth, tax information, payout information, performer information, consent records, releases, and verification submissions are truthful, accurate, and current.
Income split
The standard creator revenue split is 80% to the creator and 20% to Noodi as the platform commission, unless a separately signed written agreement states otherwise. Noodi may lower the platform commission over time for eligible creators based on loyalty, tenure, volume, compliance history, promotional terms, or written creator-program rules.
The 80/20 split is calculated on gross processed creator transactions unless Noodi states a different calculation in writing. Creator payouts may be reduced by refunds, chargebacks, payment reversals, processor fees, payout fees, taxes, reserves, fraud holds, compliance holds, legal holds, currency conversion, or other required deductions.
Taxes and payout eligibility
Creators are responsible for all taxes, forms, filings, deductions, expenses, licenses, business registrations, and professional advice related to creator earnings. U.S. creators may be required to submit a W-9, and non-U.S. creators may be required to submit appropriate tax forms before payout.
Noodi may issue tax forms where required and may withhold or report payments as required by law, processor rules, or tax rules.
Chargebacks, refunds, and reserves
Noodi may refund users, fight disputes, accept chargebacks, hold reserves, offset creator balances, reverse creator earnings, or withhold payouts when required by processor rules, law, fraud review, user protection, content policy, or compliance review.
Creators are financially responsible for chargebacks, refunds, disputes, penalties, and related costs arising from their content, promises, misconduct, fraud, policy violations, or failure to deliver approved paid content.
Creator safety and boundaries
Creators may block users, report users, set folder visibility, decline requests, refuse custom content, and set boundaries. Noodi prohibits threats, stalking, blackmail, doxxing, coercion, off-platform pressure, and attempts to force creators to perform acts outside their consent.
Termination
Noodi may suspend or terminate creator access, remove content, hide discovery, restrict messaging, hold payouts, preserve records, or require reverification for policy violations, processor risk, safety reports, legal risk, fraud, chargebacks, identity concerns, consent concerns, or inactive/incomplete compliance.
